End-User License Agreement
JUDCO QuickBooks Integration and JUDCO Portal Effective date: November 2, 2026. Last updated: November 2, 2026.
This End-User License Agreement ("Agreement") is between JUDCO, LLC, doing business as JUDCO Communications and JUDCO Security ("JUDCO"), and each person who uses the JUDCO QuickBooks integration and JUDCO Portal (the "App"). By using the App, you agree to this Agreement.
1. License
JUDCO grants a limited, non-exclusive, non-transferable, revocable license to use the App only for JUDCO's internal business. The license covers JUDCO and the employees and contractors JUDCO authorizes ("Authorized Users"). No one else may use the App.
2. Restrictions
You may not: - share your access with anyone who is not an Authorized User; - copy, sell, rent, or redistribute the App; - reverse engineer the App, except where the law allows it; - use the App to break the law or the terms of QuickBooks Online or Microsoft 365.
3. Third-party services
The App connects to Intuit QuickBooks Online and Microsoft 365. Those services are governed by their own terms. JUDCO is not responsible for them.
4. Data
Use of data is covered by our Privacy Policy at https://judco.com/privacy/.
5. Ownership
JUDCO keeps all rights in the App not expressly granted here.
6. No warranty
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. JUDCO does not promise the App will be error-free or always available. Check important figures against QuickBooks.
7. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, JUDCO IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM THE APP. JUDCO'S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
8. Termination
JUDCO may suspend or end anyone's access at any time. Your license ends automatically when you stop being an Authorized User or break this Agreement. A QuickBooks admin may also end the connection by disconnecting the App in QuickBooks Online. Sections 5 through 9 survive termination.
9. Governing law
This Agreement is governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute will be heard in the state or federal courts located in San Diego County, California.
10. Changes
JUDCO may update this Agreement. The date at the top shows the latest version. Continued use after an update means you accept it.
